2. Nature of Business

The Company provides fee-only investment advisory services — equity advisory, mutual fund advisory and financial planning — under a written agreement with each client, after risk profiling and suitability assessment. The Company does not execute trades, does not have custody of client funds or securities, and does not distribute financial products. Clients execute recommendations through their own brokers and platforms, entirely at their discretion.

3. Disciplinary History

There are no outstanding, pending or past disciplinary actions against the Company, its promoters, directors or employees by SEBI or any other regulatory authority. There are no material litigations, legal proceedings or convictions against the Company in connection with its investment advisory business.

4. Affiliations with Other Intermediaries

The Company is not associated with any other SEBI-registered intermediary for the provision of its advisory services, and receives no commission, brokerage, referral fee or other consideration from any third party in respect of products or securities it recommends. Its remuneration consists solely of the advisory and subscription fees paid by its clients. In addition to the advisory services offered on this website, the Company publishes model portfolios through its platform partner, smallcase; subscription fees for those portfolios are paid by subscribers through that platform. No consideration is received from any issuer of securities recommended.

5. Holdings, Positions and Conflicts of Interest

The Company, its directors or employees may, from time to time, hold positions in securities that are also recommended to clients. Such holdings do not influence the advice rendered; recommendations are made solely on the basis of the client's risk profile and suitability, and personal transactions of the team are subject to the Company's internal conflict-of-interest policy. Any actual or potential conflict of interest arising in respect of a specific recommendation is disclosed to affected clients. The Company does not receive any consideration, by way of remuneration or compensation or in any other form whatsoever, from any person other than the client being advised.

6. Use of Artificial Intelligence (AI)

The Company does not use Artificial Intelligence tools in formulating or delivering investment advice. Recommendations are prepared by its research and advisory team. Software automation is used for operational workflows such as onboarding, documentation, billing and record-keeping. Irrespective of the scale and scenario of any tool usage, the Company remains solely responsible for the security of client data and for compliance with applicable laws.

7. Fees

Advisory fees are charged in accordance with the fee framework prescribed under the SEBI (Investment Advisers) Regulations, 2013 and the SEBI Master Circular for Investment Advisers dated June 27, 2025 — under the fixed-fee mode, subject to the prescribed ceiling (currently ₹1,51,000 per annum per family of clients), or under the AUA mode at up to 2.5% per annum per family. The exact fee applicable to each client is stated in the investment advisory agreement and invoice. Fees are payable only through banking channels; the Company accepts no cash.

8. KYC and Records

The Company conducts KYC of all clients through SEBI-registered KYC Registration Agencies (KRAs) and maintains client records — risk profiles, suitability assessments, advice rendered and supporting rationale — in accordance with the SEBI (Investment Advisers) Regulations, 2013 and its AML & KYC.
